1. Who we are and scope
These terms govern every order placed on memoryheld.com with Studiolabs LLC ("Memoryheld", "we"), a limited liability company organized in Wyoming, USA. By placing an order you accept these terms in full.
2. Products and personalization
Products are made to order from the files you supply. You are responsible for the content of, and the rights to, the photographs you upload. We do not proofread or correct content.
3. Prices, taxes and payment
Prices are shown in the currency you select. Prices in US dollars exclude sales tax; any applicable sales or use tax is calculated at checkout from your shipping address and shown before you pay. Prices in euros include VAT and prices in Australian dollars include GST. Payment is taken at checkout through our payment provider; an order is confirmed once payment is accepted.
4. Cancellation and right of withdrawal
Orders enter production shortly after confirmation and cannot be changed or canceled once printing has started. For customers in the European Union and the United Kingdom: the 14-day right of withdrawal does not apply to goods made to the consumer's specifications or clearly personalized (Article 16(c) of Directive 2011/83/EU and the equivalent UK rules). Defective or damaged items are reprinted or refunded — see Shipping & returns.
5. Australian consumers
If you buy from Australia, our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and to compensation for other reasonably foreseeable loss or damage. Nothing in these terms limits those rights.
6. Liability
To the fullest extent permitted by law, our liability is limited to the price of the order. Minor color differences between screen and print are inherent to printing and are not defects.
7. Governing law and disputes
These terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules, and disputes will be brought in the state or federal courts located in Wyoming — except where mandatory consumer-protection law in your country of residence gives you additional rights or a different forum.
